Taxation Law

Kim E. Johnson has several decades of broad experience in a range of tax matters relevant to businesses, corporations and commercial ventures generally.  Kim has worked with accounting and financial advisors on behalf of their mutual clients on numerous tax-driven re-organizations (freezes and roll-overs), and in establishing trusts and general tax planning matters relating to property ownership and succession.

Kim has experience with, among other tax-driven matters, Mortgage Investment Corporations (MIC’s), partnerships, and the use and implications of RRSP eligibility such as for shares of private companies, mortgages secured by Canadian real estate, and others.

Kim brings an experienced tax perspective to all business and commercial matters on which the firm advises.  The firm works with its clients’ tax and financial advisors on structuring the business entity (corporation, real estate partnership, holding entity, horizontal or vertical ownership structures) with a view to tax-efficient outcomes in the future.

Business advice with an eye to exit planning will consider tax implications of various available sale or exit strategies, such as allowing a selling owner to make use of the $800,000 enhanced capital gains exemption (CGE).  Kim has a policy of working closely with and getting input from a client’s tax and financial advisors to get the best possible result.  He has the necessary experience to implement instructions from other advisors so that the desired result is achieved.

Kim has advised numerous clients in qualifying for the BC Venture Capital Tax Credit, helping to establish both Venture Capital Corporations (VCC’s) and Eligible Business Corporations (EBC’s).
