Kim Johnson has advised several active Victoria-area developers recently, some of whose proposed developments have been prominently featured in the local newspapers, and some of whom have quietly completed and sold smaller projects quickly and profitably.
Kim advises real estate developers in all aspects of a project, beginning with planning and creating the business entity – be it a corporation, a limited partnership, a joint venture, or some innovative combination of these.
We have helped our developer clients raise capital through exempt securities offerings, including preparing an offering of term notes under a master loan agreement coupled with mortgage security (pooled investment).
When the developer client is ready to acquire development lands, Kim has acted in arranging and documenting secured financing for acquisition and initial development, and in co-ordinating lenders where there may be more than one (priority and subordination issues).
Kim has supported its developer clients in municipal permitting and subdivision processes in several Victoria-area municipalities.
For developers who require disclosure statements under BC law (the Real Estate Development Marketing Act, or REDMA), Kim has drafted, reviewed or revised disclosure statements for a range of projects, including strata projects and fractional ownership projects.
Kim also has gained experience in working with newly-organized First Nations Land registries on Vancouver Island.
