Management Buy-Out

E. Johnson Law was retained by a group of senior managers to organize and carry out their purchase of a controlling interest of the shares of their employer.  The firm provided M & A advisory services to assist in negotiating the final structure of the acquisition and organizing the buyer entity, a new BC corporation.  Tax and commercial considerations unique to this transaction were addressed with a resulting tax-efficient outcome for both sellers and buyers.  K E Johnson Law also represented the buyers with regard to bank financing for the purchase, including security and guarantees.

 

Private Placements & Corporate Finance

E. Johnson Law advises a local specialty food product producer and distributor who has recently opened a chain of juice bars in BC.  The firm has assisted with organizing and incorporating the company, and with raising funds through equity share issues on a private placement / exempt securities basis.  The firm has also advised on leasing and licensing arrangements for this dynamic and prominent new brand and is looking at expansion opportunities south of the border.

 

Purchase and Sale of Business

E. Johnson Law acted for the seller in a business purchase and sale transaction recently concluded.  Although the business was modest in size, the commercial and legal considerations essential to the successful completion of any business succession transaction were all present:  appropriate deal structure, attention to tax issues, a share purchase agreement tailored to the particular circumstances, attention to transition accounting and adjustments, and post-closing holdbacks and follow up.

 

Real Estate – Single Lot Subdivision and Development

E. Johnson Law acted for a builder purchasing a single lot in the Greater Victoria region which was then subdivided for development of a single family home and strata townhomes.  The firm handled the legal work for the purchase and financing of the lot, construction financing, and also took care of registering the subdivision and strata plan.
