Kim and Rob are business lawyers and work with clients engaged in a wide range of business or commercial endeavors.  They are available and responsive to day to day questions or concerns that arise in the operation of a business or in holding commercial property, striving to provide advice in a timely way to guide the client to a satisfactory, speedy and cost-effective resolution to the issues or questions that arise from time to time.

Routine corporate transactions often handled by Kim and Rob for our corporate clients include share transfers (produce necessary corporate resolutions and transfer instruments, update corporate records), change of directors (including filing required notice with Registrar of Companies) or share re-purchases (resolutions and records updating).

They also frequently assist their business clients with more complex corporate transactions such as re-organizations, amalgamations or amending of articles of incorporation (or other founding documents, such as a limited partnership agreement).

Kim has recently assisted a corporate client in establishing and preparing articles and documentation for a BC Community Contribution Company.

Legal opinions are prepared to support a business client obtaining a loan or entering into some other form of contract or agreement.  Corporate documents and assurances are prepared or certified as needed for a lender or third party.

Trust services (also known as escrow) are commonly provided to business clients to hold or forward proceeds of investment, loans or sales, or to facilitate transaction funding.

Kim’s considerable experience is invaluable to organizing complex projects such as real estate development.
