Kim Johnson is in touch with intermediaries, brokers and consultants who represent buyers for small and medium businesses – Kim is experienced in managing the purchase and sale of all manner of businesses or commercial interests, representing sellers or buyers.  This is an active area of practice and many purchase and sale transactions are expected to occur in the years ahead.

Many business owners are ready or will soon be ready to exit their business or transfer commercial properties or interests to the next generation of owners and entrepreneurs.  Kim has considerable experience in the process of planning an orderly and full-value transition in this field – known as “exit planning”.  He can advise on important background issues such as tax and personal transition planning, and on preparing the business for sale and obtaining useful market valuations.

Important legal documents and oversight can help manage the offer and acceptance, due diligence and transaction closing:

  • non-disclosure agreements to permit exchange of sensitive information
  • negotiating and drafting letters of intent (or LOI’s, which are a form of conditional purchase agreement, to allow full due diligence review)
  • virtual document rooms or other means of facilitating a complete due diligence process
  • purchase and sale agreements, as well as loan and security documents to reflect the negotiated payment terms
  • other agreements or documents necessary to a successful completion of the transaction
  • training and transition agreements for the outgoing owner
  • non-compete and other agreements to protect the new owner while allowing the exiting owner the scope to realize personal objectives
  • assisting in the negotiation process; trying to establish each party’s interests and using objective criteria to find areas of mutual gain if possible (such as beneficial tax treatment of a transaction).

Kim advises on the sale of assets or shares, including complete or partial take-overs.  He provides a range of “legal due diligence” services to sellers or acquirers, by assisting in establishing an orderly process and reviewing and assessing key agreements and documents (leases, legal titles, etc.)
